Bolloré plans third push for representation

Vincent Bolloré, chairman of Aegis, is to call a third extraordinary meeting in nine months in an attempt to place two of his candidates on the company’s board.

He wants to install Philippe Germond and Roger Hatchuel as independent directors on the Aegis board and claims that his 29.1% stake in the company entitles him to do this.

However, his previous two attempts to place them have been opposed by Aegis’s board of directors, who have claimed that the moves by the chairman of rival group Havas are a clear conflict of interest.

Bolloré has countered that it was entirely reasonable for a long-term shareholder owning a £485m stake in a company to have nominees on the board.

Last November, a 58.5% majority of Aegis shareholders voted against Germond and Hatchuel’s placement on the board, a larger opposition to Bolloré’s previous first attempt in June.
