Aegis calls for shareholders to block Bollore

Media holding company Aegis has urged its shareholders to vote against moves by Havas chairman Vincent Bolloré to secure two seats on the group's board at its extraordinary general meeting, which it announced today is to be held on November 22.

Bolloré, who owns a 29.1% stake in Aegis and is the group's majority shareholder, is seeking the election of Philippe Germond and Roger Hatchuel to the Aegis board.
In a letter sent to shareholders today, Aegis chairman Lord Sharman called on shareholders to once again block attempts by Groupe Bolloré for board representation.
At its AGM in June, 94.1% of non-Groupe Bolloré shareholders voted in line with the board's recommendations to reject the proposals.
Industry observers believe Bolloré's attempts to gain seats on the board are part of an attempt to buy Aegis. He is top shareholder in rival ad group Havas.
Lord Sharman said: "It is not in shareholders' interests for the Aegis board to include directors who face a fundamental conflict of interest.
"We do not want to allow a competitor's representatives potentially to compromise our ability to deliver value for all Aegis shareholders."
