Crouch, who leaves the broadcaster at the end of the month, said: "Having joined GMTV a year before our launch I now feel the time is right for me to move on."
He was part of the original senior team who launched GMTV and during his tenure spent 15 years as sales and marketing director, presiding over £1.150 billion of advertising income, before becoming chief operating officer in September 2007.
John Cresswell, interim chief executive of ITV, said: "Clive has also made an enormous contribution to independent television in a career that has seen him work for Scottish Television, Ulster Television, LWT and TV-AM.
"In the last few years, Clive as chief operating officer has steered GMTV through some challenging times and he has been a huge source of advice and support over the last three months. Clive is a true professional, and a valued colleague and we all wish him well."
Crouch's departure comes amid an ongoing review at GMTV started when from The Walt Disney Company on 26 November 2009.
GMTV currently employs 300 people. The future roles of other senior managers, Simon Poole, sales and marketing director and Ian Williams, head of business development, have yet to be confirmed.
An ITV spokesman said the review is still ongoing.
