Presentable, which is best known for the Channel 4 series 'Late Night Poker', attracted the interest of RDF Media after the 2005 Gambling Act enabled production companies to provide betting and gaming services.
RDF Media will make an initial payment of 拢2m, half of which will be acquired from shares. Further consideration of up to 拢4m will be paid in shares based on the financial performance of Presentable following the audit of results between May 2006 and January 2008.
David Frank, chief executive of RDF Media, said: "Working with Presentable's strong management team, we will be looking to build on the company's relationships with both the gaming companies and broadcasters to take full advantage of the changes in gambling regulations.
"I believe that Presentable, a leading supplier of high-quality television gaming content, is uniquely placed to play a cutting-edge role in this market. The company's development agreement with S4C and the range of work it does for other broadcasters also offers real opportunities for future growth."
Presentable, which was founded in 1993 by husband and wife team Chris and Megan Stuart, has developed a number of poker programmes that have proved to be successful in the UK and abroad.
'Late Night Poker', which first appeared on Channel 4, attracted interest from US buyers, including Fox Sports Net. The company has also made 'Celebrity Poker Club' for Challenge TV and 'All Star Poker Challenge' for ITV1.
RDF Media's other key shows include 'Banzai', 'Location, Location, Location', 'Faking It' and 'Rock School'.
