The BBC is understood to have been in talks with Kemp, who starred as Grant Mitchell in 'EastEnders', for months as the ratings for the once-leading sink continue to sink.
Last week, 'EastEnders' suffered a blow as it was snubbed by Bafta for the second year in a row while rival soap 'Coronation Street' led the nominations for Best Continuing Drama.
The show has seen ratings at their lowest in its 20-year history, dropping to levels of just 6.3m viewers.
The show's scripts have come under fire and the programme lost its executive producer Kathleen Hutchison, who left over arguments with cast and scriptwriters.
The BBC is reported to have offered Kemp a £500,000, two-year deal while ITV's head of drama Nick Elliot is said to be offering Kemp a similar deal to star as Sergeant Henry "Henno" Garvie in one more series of the SAS drama 'Ultimate Force'.
'Ultimate Force' first aired in 2002, with a second series out in 2003 and a third three-part series earlier this year, which saw the credibility stretching with the introduction of a female member of the SAS.
The show has proved a hit for ITV in attracting young male viewers and it has also performed well in terms of international sales, with the drama being sold around the world in New Zealand, South Africa, Scandinavia and Canada.
An ITV source told The People yesterday: "Ross is far from signed, sealed and delivered to 'EastEnders'. If he stays with ITV, he would earn the same for six hours' screen work a year as for 44 weeks of hard graft."
A spokesman for 'EastEnders' said: "We are in early negotiations, but nothing is settled."
