LONDON - BSkyB is set to strengthen its board with the appointment of three independent non-executive directors.

The broadcaster has sent out letters to shareholders ahead of its AGM next month setting out the resolutions it intends to put to shareholders at the meeting.

The proposals include the appointment of Gail Rebuck, chief executive of publisher Random House, and Jacques Nasser, former Ford chief. The third candidate has not yet been confirmed.

BSkyB said the decision to appoint more non-executive directors is to help strengthen its corporate governance. It could also help improve relations with the government, as Rebuck is the wife of Philip Gould, Labour's chief election aide.

It would also increase the number of non-executive board members to eight, compared with the five News Corp representatives on the board.

BSkyB already has five non-executive directors including Royal Mail chairman Allan Leighton, Goldman Sachs president and co-chief operating officer John Thornton and Allied Domecq chairman Philip Bowman.

News Corp, which owns a 37% share in BSkyB, has five representatives on the BSkyB board including Les Hinton, chief executive of News International, and Rupert Murdoch who is also chairman of BSkyB.

All BSkyB's shareholders will be invited to vote on the appointment of the new board members, as well as voting for News Corp representatives to stay on the board for the first time.
