Under the deal, Aegis will acquire an initial 52% stake and will purchase the outstanding stake by 2009 for a total of €16m (£10m) payable over five years, subject to performance criteria.
Founded in 1995, Komandarm already operates in partnership with Aegis in the Russian market on local and international accounts including Heineken, Alfa Bank, Bridgetown Foods and Eldorado.
Robert Lerwill, chief executive of Aegis, said: "Komandarm has acted as an affiliate agency for some time now and bringing its ownership into the group will now enable full participation in the Vizeum network.
"We look forward to working with the management team, which has vast experience in helping clients to establish their brands in the fast-growing Russian market".
In addition, Aegis has acquired one of Ireland's longest-established media agencies Brindley Media Group for €12m (£8m), which is to be aligned with Carat.
Brindley Advertising was set up in 1956 and is considered one of Ireland's best-known media agencies.
Its clients include the Irish Government Supplies Agency, the Irish Aviation Authority, Tattersalls Ireland, Irish Financial Services Regulatory Authority, the Broadcasting Commission of Ireland and the Football Association of Ireland.
Lerwill said: "The acquisition of Brindley Advertising will complement Aegis Media's position in the Irish market."
